Please read these Terms of Service ("Terms") carefully before using the website at https://astro-graphics.com (the "Site") operated by Astro Graphics, a Texas business located at 13631 Floyd Cir, Dallas, TX 75243, United States ("Company", "we", "us", or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and Astro Graphics. By using the Site, submitting a quote request, or engaging our services, you represent that you are at least 18 years of age and have the legal capacity to enter into this agreement. If you are using the Site on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Services Description

Astro Graphics provides commercial printing, prepress and graphic layout, business stationery, large format printing, direct mail and mailing services, and promotional and branded merchandise (collectively, "Services"). The Site serves as an informational and quote-request platform. Actual service agreements are formed through separate written or electronic order confirmations.

3. Quote Requests and Orders

• Quotes: All quotes provided via the Site or by email are estimates only and are subject to change based on final specifications, materials costs, and production requirements. Quotes are valid for 30 days from the date of issue unless otherwise stated.
• Order Acceptance: An order is not accepted until we issue a written order confirmation. We reserve the right to decline any order at our sole discretion.
• Artwork and Files: You are responsible for providing print-ready artwork files that meet our technical specifications. We are not liable for print defects resulting from customer-supplied files that do not meet specifications.
• Proofs: We will provide a digital proof for your approval before production. Once you approve a proof, you accept full responsibility for the content, layout, and colour accuracy as shown. We are not liable for errors approved by the customer.
• Changes and Cancellations: Changes to an approved order may incur additional charges. Cancellations after production has commenced may result in charges for work completed to date.

4. Pricing and Payment

• All prices are in US Dollars (USD) and are exclusive of applicable taxes unless stated otherwise.
• Payment terms are as specified in the order confirmation. We reserve the right to require payment in advance for new customers or large orders.
• Overdue invoices may be subject to a late payment fee of 1.5% per month (or the maximum permitted by law, whichever is less).
• You are responsible for all applicable federal, state, and local taxes, including sales tax where applicable.

5. Intellectual Property

5.1 Your Content

You retain all intellectual property rights in the artwork, logos, text, and other materials you provide to us ("Customer Content"). By submitting Customer Content, you grant Astro Graphics a non-exclusive, royalty-free licence to use, reproduce, and process your Customer Content solely for the purpose of fulfilling your order.

5.2 Your Representations

You represent and warrant that: (a) you own or have the necessary licences, rights, consents, and permissions to use and authorise us to use all Customer Content; (b) your Customer Content does not infringe any third-party intellectual property rights; and (c) your Customer Content does not violate any applicable law.

5.3 Our Content

All content on the Site — including text, graphics, logos, images, and software — is the property of Astro Graphics or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

6. Prohibited Uses

You agree not to use the Site or our Services to:

• Print or distribute material that is defamatory, obscene, fraudulent, or unlawful.
• Infringe any third party's intellectual property, privacy, or other rights.
• Transmit viruses, malware, or other harmful code.
• Engage in any activity that disrupts or interferes with the Site or our servers.
• Collect or harvest personal information about other users.
• Violate any applicable local, state, national, or international law or regulation.

7. Delivery and Risk of Loss

• Delivery dates are estimates only. We are not liable for delays caused by circumstances beyond our reasonable control, including carrier delays, supply chain disruptions, or force majeure events.
• Risk of loss and title for finished goods pass to you upon delivery to the carrier or upon pickup from our facility.
• Claims for damaged or missing shipments must be made within 5 business days of delivery.

8. Returns and Reprints

Due to the custom nature of print production, we do not accept returns except in cases of manufacturing defects or errors on our part. If you believe your order contains a defect caused by us, you must notify us within 5 business days of receipt with photographic evidence. Our sole liability in such cases is, at our discretion, to reprint the affected portion of the order or issue a credit.

9. Disclaimer of Warranties

THE SITE AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ASTRO GRAPHICS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS (USD $100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Astro Graphics and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Site or Services; (b) your Customer Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Dallas County, Texas, and you consent to the personal jurisdiction of such courts.

Before initiating formal legal proceedings, you agree to attempt to resolve any dispute informally by contacting us at info@astro-graphics.com. We will attempt to resolve the dispute within 30 days.

13. Third-Party Links and Services

The Site may contain links to third-party websites or services. We do not control and are not responsible for the content, privacy policies, or practices of any third-party sites. We encourage you to review the terms and privacy policies of any third-party sites you visit.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will post the updated Terms on this page with a revised effective date. Your continued use of the Site after any modifications constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.
